Articles of Incorporation

 

Instructions:

Step 1:  To incorporate, file the original and two copies of the Articles of Incorporation in the county where the corporation's registered office is located.

Step 2:  Non-Profit corporations MUST have at least three directors.

 

Pursuant to the provisions of the Alabama Non-Profit Corporation Act, the undersigned hereby adopts the following articles of incorporation.

 

Article I           The name of the corporation:

                        Camp Perry Retired Marines, Inc.

 

Article II          The duration of the corporation is perpetual, unless otherwise stated.

                       

Article III         The Corporation has been organized for the following purposes:

                        To engage in any lawful activity allowed for under the state's corporation or LLC statutes.  The organization is organized exclusively to operate as a charitable Non-Profit organization to foster National and International amateur sports competition under section 501(c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code.  To educate the public concerning its rights under the 2^nd amendment to the U. S. Constitution. To raise donations to provide junior shooters at the National High-Power Championships with equipment, funds, plaques and educational material and the Palma Young Eagle Junior teams that compete in International Palma Matches. To assist the Disabled Shooters Association. To assist State Associations and Local Clubs that are affiliated with the Civilian Marksmanship Program (CMP) and/or the National Rifle Association (NRA) in the support of their High-Power Junior Programs.  To provide college scholarships to collegiate shooters as determined by the NRA at the National Championships.

                       

Article IV         Members shall have one vote at the annual meeting as prescribed in the bylaws.

                       

Article V          The Street address of the registered office 89 Harrand Creek Dr. , Enterprise, Alabama  36330.  Located in the County of coffee and the name of the registered agent at that office is James R. Owens

Article VIII      Distribution of assets on dissolution or final liquidation:

 Upon the dissolution of this 501(c) (3), assets shall be distributed for one or more exempt purposes within the meaning of section 501(c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government or to a state or local government for a public purpose.  Upon the dissolution of this organization, assets shall be distributed in the following order as long as they qualify as a 501(c) (3) organization:

1)      Heritage Shooting, Inc a 501(c) (3) organization.

2)      The National Rifle Association a 501(c) (3) organization.

3)      The Federal Government.

 

Article IX         Compensation: No member of this organization will draw any salary or wages, deferred compensation, retirement benefits, fringe benefits or bonuses.

 

Article X          Political Campaigns:  This organization will not support or oppose any candidates for public office in any political campaign.

 

Any provision that is not inconsistent with the law for the regulation of the internal affairs of the corporation, including any provision for distribution of assets on dissolution or final liquidation, may be added.
